Sec.[Section] 1. Be it Enacted by the People of the [state] of Illinois represented in the General Ass[embly] That Henry G. Hubbard his associates[,] [?] successors[,] and assigns are hereby constituted a body politic and corporate by the [?] of the aux Plane Steam Mill Manufacturing Company and by that name, they and their successors, shall have succession and shall in law be capable of suing and being sued in all Courts and places whatsoever[;] may have a common seal and shall by such name, be capable in law of contracting and being contracted with[;] of purchasing [,] holding[,] and disposing of all [description of?] personal estate, for the use and purpose of said Corporation and of holding of real estate and conveying the same when[the?] amount shall not exceed three hundred and twenty acres unless conveyed to or received, by them in payment of debts due said Company, as bona fide [purchaised?] under mortgage to it, for [such?] debts, to secure the payment thereof.
Sec. 2. The [said?] company shall have power and they are hereby authorised to carry on the manufacture of flower such other species of manufacture [?] branches of business as may be deemed [?]ful to erect mills, machinery[,] and [?] shops and other buildings, necessary to carry on such business and to [?]

concern the affairs, property[,] and interest of said Company, and to execute and deliver evidences and securities for the performance thereof, whether of purchase and sale or of the hiring of labor, and the Compensation to be given therefor.
Sec. 3. The Capital stock of said Company may consist of such an amount and be divided into as many shares as shall be deemed necessary and Commenserate to the accomplishment of the objects of said Company, and may be increased from time to time as may be deemed prudent and necessary by the managers of said Company to Carry on its business, who shall be chosen by the majority of the share holders in such manner and such time and place as a majority shall for that purpos[e] determine.
Sec. 4. When such managers are chosen they shall hold their offices for one year and until their successors shall be chosen and qualified and they shall have the management and government of the affairs of the said Company and shall have power to appoint the necessary officers and servants to superintend the business confided to them by said managers
Sec. 5. The said board of managers shall have power to make all such bye laws and regulations, not inconsistent with the Constitution and laws of the United States and of this State, which shall be

necessary for the payment or collection of subscription to its stock and transfer of the same, the conveyance of property the payment and collection of [debts?] [?] from the Company or that may [?] any other particular concern the [?] management or direction of the fiscal or other affairs of said company
Sec. 6. This act shall be taken and [?] a public act, and shall be liberally construed for all [?] purposes.

1Gholson Kercheval introduced HB 278 in the House of Representatives on February 7, 1839. The House referred the bill to the Committee on Manufactures and Agriculture. The Committee on Manufactures and Agriculture reported back the bill on February 19 with amendments, and the House referred the bill and proposed amendments to a select committee. The select committee reported back the bill on February 21 with amendments, in which the House concurred. The House passed the bill as amended on February 26. On March 2, the Senate tabled the bill until July 4.
