Be it enacted by the People of the State of Illinois represented in General assembly, that William T Major, John F. Henry, James Allin, James Miller[,] John W S Moore, Jesse W Fell[,] & Benjamin Depew, and their successors be and they are hereby created a body Politic and Corporate to be styled & known by the name of “The Trustees of the Bloomington Female Seminary of Learning” and by that name to remain, and have perpetual succession. The said Seminary of Learning shall remain located at or near the Town of Bloomington McLean County Illinois , the number of Trustees shall not excede fifteen ^(^[...?] of the President, Principle, or Presiding officer, of said Institution who shall [ex officio?] be a member of the board of Trustees^)^ For the present the above named individuals shall constitute the board of Trustees, who shall fill the remaining vacancies at their descression.
Sec[Section] 2nd The object of said Corporation, shall be the promotion of the general interests of Education, & to qualify young females for the honorable & usefull discharge of the various duties of life.
Sec 3rd The Corporate powers hereby bestowd[bestowed] shall be such only as are assential or usefull in the attainment of said object, and such as are usually confered on similar bodies Politic. viz To have perpetual succession to make contracts, to sue, & to be sued, implead

& be impleaded, to grant & receive by its Corporate name, and do all other acts that natural persons may, to accept, acquire purchase or sell property real personal & mixed in all lawfull ways, to use, employ, manage, and dispose of all such property, and all money belonging to said Corporation in such manner as shall seem to the Trustees best adapted to the promotion of the aforesaid object, To have a common seal, and to alter & change the same, to make such by-laws for its regulation as are not inconsistant with the constitution & laws of the United States, or of this state and to confer on such persons as may be considered worthy such Honorary distinctions as are usually confered by similar Institutions.
Sec 4th The T[...?] Trustees of said Corporation shall have authority from time, to time, to prescribe & regulate the course of Studies1 to be persued in said Institution, & in the preparetory departments attached thereto, to fix the rate of Tuition, room rent, and other expences of the institution, to appoint instructors, and such other officers & agents as may be needed in managing ^the concerns of^ said Institution, to define their powers, duties and employments, to fix their compensation, to displace and remove either of the instructors, agents, & officers, as said Trustees may shall deem the interest of said Institution may require, to fill all vacancies among

said Instructors, officers, and ^or^ agents, or said Trustees to erect necessary buildings, to purchase necessary Books & Chemical & Philosophical apparattus, and other suitable means of instruction, to make rules for the general management of the affairs of the Institution, and for the regulation of the conduct of the students.
Sec 5th If any Trustee shall be chosen President of said Institution his former place as Trustee shall [be considered as vacant,?] and his place filled by the remaining Trustees The Trustees for the time being shall have power to remove any Trustee from his office as such, for any dishonorable, or criminal conduct Provided that no such removal shall take place without giving to such Trustee notice of the charge, or charges against him, and an oppertunity to defend himself before the board, nor unless that two thirds of the whole number of Trustees for the time being shall concur in such removal. The Trustees for the time being, in order to have perpetual succession shall have power as after as a Trustee, or Trustees shall be removed from office, die resign or remove out of the state, to appoint a resident of this state to fill the vacancy occasioned as aforesaid a majority of the Trustees for the time being shall be a quoram to do business.
Sec 6th The Trustees shall faithfully apply all funds by them collected, or hereafter collected according to their best Judgment, in erecting suitable buildings, in supporting the necessary instructors, officers, and agents Philosophical, chemical, and other apperattus necessary to promote aid in the promotion

of sound learning in said Institution. Provided that in case any donation, devise, or bequest, shall be made for particular purposes, accordent with the object of said Institution, and the Trustees shall accept the same, every such donation, devise, or bequest shall be applied in conformity with the express conditions of said Donor or Devisor.
Sec 7th The said Corporation shall have power in the^ir^ Corporate character, as Trustees as aforesaid & for the exclusive ^use &^ benefit & use of said Institution, to Hold in perpetuity to them & their successors forever any lands Tenements & Heredetaments not exceding forty acres ^which may be vested in them^ by gift, grant, donation, or Devise, Provided that if donations, grants, or Devises in land shall from time, to time, be made to said Corporation of more than said forty acres of land to be held in perpetuity, the same may be received ^& held^ by said Corporation for the period of three years from & after the date of said donation, grant, & devise, at the end of which time, if the said land, over & above said forty acres shall not have been sold by said Corporation, then & in said ^that^ case said land or so donated, granted & devised as aforsaid shall revert to the Donor, grantor or the Heirs of the Devisors of the same Provided that said Trustees Corporation shall have the right within the period of said three years to sell & dispose of for the . . .
