An act to incorporate the Illinois Agracultural and Manufacturing Company
Sec.[Section] 1st Be it enacted by the people of the State of Illinois represented in the General Assembly, That David F Brigham[,] Benjamin Freeman[,] their associates[,] successors[,] and assigns, be and hereby are constituted a body politic and corporate by the name and [title?] of the Illinois Agracultural and manufacturing Company and as such ^shall have power^ in their corporate name to establish a common seal, break and alter the same at pleasure[,] contract and be contracted with, sue and be sued, plead and be impleaded[,] to answer and be answered unto in any court of law or equity having jurisdiction over the particular demand, suit[,] bill[,] or action according to the Statutes, laws[,] and rules regulating proceedings in said Courts, they shall also possess the power and enjoy the privilege, of purchasing and holding, selling[,] and conveying real estate [...?] ^in a quantity not exceeding ten Sections^ and personal property ^They shall also enjoy the privilege of^, of purchasing[,] importing[,] raising[,] and selling horses, Cattle, or any other animals near upon or about a farm or plantation, of planting[,] cultivating, and producing, hemp, Cotton mulbery trees, sugar beat[,] or any other articles of agracultural product, also of erecting buildings and manufacturing by labor or machinery any articles ^[textiles?] or fabricks^ used or which may be used in the Country. They shall also have the power

and enjoy the privilege of establishing such bye laws[,] rules[,] and regulations as they may think proper together with such incidental powers and privileges as may be necessary or convenient for the suitable and proper management of its business and affairs
Sec 2d Be it further enacted that the Capital stock of said company shall be Five Hundred of ^Thousand^ dollars which shall be divided into shares of one hundred dollars each and be personal property [?] the amount paid in for the use of the company by such instalments and at such times as the President and Directors shall directProvided however that not less than ten per cent shall be paid in on or before the first Wednesday of October next following and that said Company shall not go into operation and [transact?] business any further than to organise the same until said ten per cent is actually paid in
[Sect?] 3d Be it further enacted that the officers to whom shall [be?] entrusted the general management of the affairs and [business?] of said company shall be a President and [nine?] directors [?] of whom shall be chosen by the Stockholders, by ballot each Stockholder being entitled to as many votes as he or she has shares with the right of voting by proxy, and shall hold their offices during one year or until others are chosen in their stead, and shall annually cause to be returned [?] the Secretary of States office a statement of the actual [amount?] of Capital paid in and employed by said Corporation

accompanied by such other statistical information relative to its business and affairs as may be interesting and useful to the publick
Sec 4th Be it further enacted that said President and board of Directors shall appoint either from their own Board or otherwise a Treasurer and Clerk who shall discharge the duties incident to their respective offices and shall either of them be the proper and legal persons on whom service shall be made in any legal process wherein the Corporation are a party
Sec 5th Be it further enacted that said Compay shall have an office or public place of business of which public notice shall be given as soon as the same shall be selected and fixed by them by advertising in three public newspapers printed within the State for the term of six months and whenever any [change?] or removal of its office takes place the same public notice shall be given thereof, the annual meetings of said Company for the choice of officers and such other business as may [come?] before them shall be held at said public office on the first Wednesday of October
Sec 6th Be it further enacted That all the estate and property of said Corporation shall be liable for the payment of its debts, and the fulfilment of its contracts and be attached levied upon and recovered in the same manner as the Estate and property of an individual and each individual Stock^Holder^

Stockholder shall be liable for the debts of said Corporation to the amount of his or her stock and no further
Secn[Section] 7th Be it further enacted that said Corporation shall continue and be in force for and during the period of thirty years from and after the passage of this act unless the Charter shall be forfeited by a violation thereof or the same be surrendered and the Company dissolved by a vote of the Stockholders
Sec 8th Be it further enacted that David T Brigham [...?] and Benjamin Freeman be and hereby are authorised to call the first meeting of said Corporation as soon as they may think proper after the whole stock shall have been subscribed for by giving public notice of the time when and the place where said meeting will be held in three public newspapers at least three weeks previous to the time of holding said meeting
Sec 9 Said corporation shall be confined in the Selection and purchase of the lands, herein authorised to be held by the provisions of this act, to four Counties, which lands shall be purchased or entered within six months from and after the passage of this act, and a certificate of the same filed in the Auditors Office
